Heartzi Creator Collaboration Terms & Conditions

These Creator Collaboration Terms & Conditions ("Creator Terms") govern all collaborations between Heartzi, a brand operated by Shubhaarti Enterprises ("Heartzi", "we", "us", or "our"), and creators, influencers, affiliates, ambassadors, and UGC creators ("Creator", "you", or "your").

By submitting Heartzi's Creator Collaboration Form, accepting products, accepting payment, creating content, or participating in a collaboration with Heartzi, you agree to these Creator Terms.

1. Collaboration Participation

Participation in a collaboration does not establish any employment, agency, partnership, or joint venture relationship between the Creator and Heartzi.

Each collaboration is considered an independent arrangement subject to these Terms and any additional details agreed upon between the Creator and Heartzi.

2. Creator Information

The Creator agrees to provide accurate and complete information, including contact details, social media information, shipping details, and payment information.

Heartzi reserves the right to cancel or decline collaborations if inaccurate or misleading information is provided.

3. Deliverables

The Creator agrees to provide the deliverables mutually agreed upon for the collaboration, including but not limited to:

• Reels
• Stories
• Product photographs
• Raw video clips
• UGC content
• Other agreed promotional content

Deliverables shall be determined on a collaboration-by-collaboration basis.

4. Content Delivery Timeline

The Creator agrees to deliver the agreed content within the timeline discussed and agreed upon with Heartzi before the collaboration begins.

If the Creator experiences a genuine medical emergency, family emergency, or other unforeseen circumstance, Heartzi may, at its sole discretion, grant an extension of up to fifteen (15) calendar days, provided the Creator communicates the situation promptly and in good faith.

If the Creator fails to deliver the agreed content within the agreed timeline, fails to communicate with Heartzi regarding delays, or fails to fulfil the collaboration after receiving products and/or payment, Heartzi reserves the right to:

• Terminate the collaboration immediately;
• Withhold any pending payments;
• Decline future collaborations with the Creator;
• Request reimbursement of the value of products provided for the collaboration and any reasonable costs incurred by Heartzi;
• Pursue any legal remedies available under applicable law where appropriate.

Heartzi will evaluate each situation on a case-by-case basis and reserves the right to determine appropriate action based on the circumstances.

5. Content Quality & Revisions

Heartzi may request reasonable revisions, corrections, or adjustments to submitted content to ensure alignment with campaign objectives, product representation, and brand standards.

Creators agree to cooperate with reasonable revision requests.

6. Content Usage Rights

By participating in a collaboration, the Creator grants Heartzi a non-exclusive, worldwide, royalty-free, transferable, perpetual license to:

• Repost content on social media platforms;
• Publish content on Heartzi's website;
• Use content in advertisements and promotional campaigns will require separate written approval from the creator unless otherwise agreed in advance.;
• Use content in digital, print, email, and marketing materials;
• Edit, resize, crop, adapt, or repurpose content for promotional use.

The Creator retains ownership of their original content unless otherwise agreed in writing.

No additional compensation shall be owed for the permitted uses described above unless specifically agreed by Heartzi in writing.

7. Creator Responsibilities

• All submitted content must be original.
• Content must not infringe any third-party rights.
• Content must not contain unlawful, misleading, offensive, or inappropriate material.
• Content must accurately represent the product received.

8. Products Provided for Collaboration

Products provided by Heartzi for collaboration purposes are intended solely for the agreed collaboration.

Heartzi reserves the right to discontinue future collaborations with Creators who repeatedly fail to fulfil agreed deliverables after receiving products.

9. Payment Terms

Where a collaboration includes monetary compensation, payment terms will be communicated separately and agreed upon before the collaboration begins.

Payments will be processed using the payment information provided by the Creator.

Heartzi reserves the right to withhold or delay payment where agreed deliverables have not been submitted.

10. Cancellation

Either party may cancel a collaboration before content creation begins by informing the other party.

Heartzi reserves the right to cancel any collaboration at its sole discretion.

11. Limitation of Liability

To the maximum extent permitted by law, Heartzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from a collaboration.

12. Governing Law

These Creator Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra.

13. Changes to These Terms

Heartzi reserves the right to modify or update these Creator Terms at any time.
